1. Acceptance of Terms

By accessing or using the Acadex School Management System ("Acadex", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Acadex regarding your use of our services. If you do not agree to all the terms and conditions, you are not authorized to use our services.

2. Services

Acadex provides a cloud-based school management platform that helps educational institutions manage students, teachers, academics, finance, and parent communication. We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice.

3. Account Registration

To access certain features of our services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. License Grant

Subject to these Terms, Acadex grants you a limited, non-exclusive, non-transferable, revocable right to access and use our services solely for your internal business purposes as an educational institution.

5. Prohibited Activities

You agree not to:

• Use our services for any unlawful or unauthorized purpose
• Infringe intellectual property rights of others
• Attempt to disrupt or interfere with our services
• Transmit malicious code or harmful data
• Use our services to send unsolicited communications (spam)
• Reverse engineer, decompile, or disassemble any portion of our services

6. Subscription and Payment

Certain features of our services require a paid subscription. Payment terms are as specified on our pricing page. All payments are non-refundable unless otherwise stated. We may change pricing at any time, with notice provided before the change takes effect.

7. Data Security and Privacy

Your use of our services is also governed by our Privacy Policy. You agree to review our Privacy Policy to understand how we collect, use, and protect your information.

8. Intellectual Property

All content, trademarks, logos, and other intellectual property displayed on our services are the property of Acadex or its licensors. You may not use, reproduce, or distribute our intellectual property without our prior written consent.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ACAdex BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR INTERRUPTION OF BUSINESS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Acadex, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of our services.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya.

13. Changes to Terms

We may revise these Terms at any time. If we do, we will provide notice by posting a notice on our services. Your continued use of our services after any changes constitutes acceptance of the revised Terms.

14. Termination

We may terminate or suspend your account and access to our services at any time, with or without cause, with or without notice. Upon termination, all licenses granted to you shall immediately cease.
